Crowe Dunlevy (Tulsa, OK) is seeking a Paralegal to support our attorneys practicing in business and transactional matters.
ESSENTIAL DUTIES AND RESPONSIBILITIES include the following:
- Prepares and organizes closing checklists and closing documents and facilities closings for financing, real estate and business transactions; creates and distributes closing binders, conventionally and electronically, and assists generally in closing processes as requested by attorney.
- Prepares documents related to commercial financing transactions, including mortgages, closing certificates, mortgage tax affidavits, mortgage releases, UCC financing statements and amendments; prepares initial and amended articles of incorporation, shareholder and director resolutions, and other business organization documents; and prepares deeds and other title documents, all for review, approval, and use by attorneys.
- Reviews title commitments, surveys, and other title documents, and coordinates with title companies and surveyors, in connection with real estate transactions.
- Interfaces with various local, state and federal government agencies to research, obtain information and documents, and file or record documents.
- Conducts due diligence searches; coordinates and organizes documents for due diligence reviews.
- Knowledge of the following is needed:
- Familiarity with the Uniform Commercial Code – Article 9 (Secured Transactions), including the components of a UCC financing statement and the law governing place of filing and effectiveness.
- Familiarity with the documents required for documenting commercial loans – (i.e., collateral documents, including which documents need to be filed or recorded in public records).
- Familiarity with the various types of business entities and the documents that form and govern them, including the ability to review such documents for determining authority to bind the company.
- Some familiarity with oil and gas terminology, including the form and content of oil and gas leasehold records.
QUALIFICATIONS:
Education and/or Experience: Bachelor’s degree (B.A.) from four-year college or university; or Associate’s degree and at least two year’s prior experience; or High School Diploma or its equivalent and at least five year’s prior experience; or equivalent combination of education and experience. Should be proficient in Microsoft Word, Excel, PowerPoint, and Adobe Acrobat.
- Certificates, Licenses, Registrations: Prefer certification as a Paralegal.
