How do I help clients with their healthcare matters?

I help healthcare organizations and providers navigate the regulatory and transactional issues that can make running a healthcare business especially complicated. Whether I’m working through a transaction, addressing a reimbursement issue, or finding a compliant, cost-effective way to address a regulatory challenge, I focus first on what the client ultimately needs to accomplish. I also enjoy the problem-solving that comes with healthcare law—particularly when a creative approach can help a client move forward without taking on unnecessary expense or risk.

Drawing on a corporate and securities foundation

Elizabeth Dalton began her career as a corporate and securities lawyer before evolving into healthcare law, a combination that continues to shape the way she approaches transactions. She represents healthcare organizations and providers in acquisitions, joint ventures, affiliations, private equity deals and other business arrangements, frequently guiding clients through due diligence, purchase agreements and negotiations. Her transactional experience also allows her to see beyond the immediate legal issue and consider how a proposed arrangement will affect the client’s broader business objectives.

Untangling complex regulatory challenges

Elizabeth advises hospitals, physicians, physician-owned hospitals and other healthcare businesses on regulatory matters involving Medicare and Medicaid, reimbursement, payer audits and appeals, licensing, physician compensation, antitrust, the Anti-Kickback Statute, Stark Law and fraud and abuse. She describes regulatory work as something of a puzzle, and she brings a creative, practical mindset to finding solutions that satisfy regulatory requirements without imposing unnecessary costs. She works closely with CEOs and CFOs to assess not only whether a course of action is compliant, but whether it makes sound business sense.

Keeping the client’s objective in view

Elizabeth begins transactions and other significant matters by asking a straightforward question: What does the client want out of this? That focus helps her identify competing priorities, anticipate potential problems, and develop strategies that protect what matters most to the client. She also builds relationships beyond the immediate legal matter, taking the time to know her clients personally and drawing on her broad professional network when they need help with issues outside her practice.

Connecting through healthcare experience and service

Elizabeth’s family connection to healthcare—including a physician father and sister—has given her an understanding of the profession and helped her communicate effectively with physician clients and other healthcare decision-makers.

The recipient of numerous awards for her client service and professional accomplishments, Elizabeth has earned a Band 1 ranking for Healthcare law from Chambers USA and extensive recognition from Best Lawyers and Oklahoma Super Lawyers, including repeated Oklahoma City Lawyer of the Year honors, among others. She also serves as chair of Lynn Community Impact, Inc., a healthcare organization focused on improving outcomes for underserved communities in central Oklahoma, and has held leadership roles with several other Oklahoma City community organizations.
