Taxation

Tax depth that reaches from the deal table to the courtroom.

Can your tax counsel shape the answer and defend it when challenged?

For more than 50 years, we have helped taxpayers address the planning decisions and disputes that affect their businesses, investments and personal wealth. Our practice spans federal, state and local taxation, with particular depth in pass-through entities, closely held businesses, high-net-worth matters and the intersection of business and estate planning. Most of our tax lawyers hold an LL.M. in taxation from New York University, and our planning and controversy teams work side by side as statutes, regulations and court decisions change. Because we take the time to understand how each client operates, our advice is grounded in both the tax law and the business result the client needs.

No tax issue stays in one lane, and neither do we

Tax questions rarely stay confined to one code section or one jurisdiction. We cover a broad range of federal, state and local tax matters, which allows us to follow an issue wherever it leads and bring in the right perspective without losing sight of the whole picture. Our work includes:

  • Federal and Oklahoma income tax, federal payroll-based tax and federal excise tax
  • Oklahoma state and local sales and use tax, property tax, motor vehicle excise tax and gross production tax
  • Multi-state and federal aircraft tax
  • Partnership, S corporation and other pass-through taxation
  • Executive compensation, tax-exempt organizations, estate planning and high-net-worth planning
  • Tax opinions and private letter rulings from the Internal Revenue Service and the Oklahoma Tax Commission

We advise individuals, partnerships, S corporations, tax-exempt entities, hospitals, foundations, charitable trusts and businesses across industries. That range matters because it is rare for a client to bring us a tax issue that falls outside our experience.

Tax strategy belongs in the deal room

We work with clients before decisions harden and tax consequences become difficult to change. That includes structuring acquisitions, dispositions and investments, advising closely held businesses and their owners and evaluating how estate planning affects the business. We also counsel nonprofit organizations on proposed affiliations and other significant relationships, and we handle select cross-border matters when a transaction reaches beyond the United States. When elections and legislative priorities reshape tax codes, we assess what the changes mean for the client and help the business act on them early.

A tax dispute should never outgrow your counsel

Our controversy lawyers defend taxpayers in Internal Revenue Service and Oklahoma Tax Commission audits, administrative appeals and IRS National Office Technical Advice Conferences. When a matter requires litigation, we appear before Oklahoma Tax Commission administrative law judges, the U.S. Tax Court and Oklahoma and federal courts through trial and appeal. We also represent taxpayers facing criminal tax investigations or allegations. Because our planning and litigation lawyers share knowledge and resources, the team defending a position understands how it was built and what is at stake for the client.

We bring the focused experience aircraft tax demands

Aircraft ownership presents a distinctive mix of federal, multistate and Oklahoma tax issues, and our depth in this niche stands out nationally. We advise on the tax structure for aircraft acquisitions and sales, ownership and use, dispositions and personal use. Whether the aircraft supports a business, an investment or an individual owner, we examine the full ownership picture and build a structure that reflects how the aircraft will be acquired, held and operated.
