Hw do clients help with their transactions and other commercial matters?
While I now focus most of my work on the aviation sector, I also advise an array of companies, financial institutions, business owners and high-net-worth individuals on their sophisticated transactions where business strategy, legal judgment and practical realities converge. Whether I’m structuring aircraft ownership and operating plans, designing and implementing a merger, or advising as outside general counsel, I strive to anticipate risks before they become problems and effect pragmatic solutions for my clients. Every deal or other matter presents its own challenges, and I adapt my approach to best address the people, personalities and business goals and pressures involved.
Structuring complex transactions across industries
Jeff advises clients throughout the United States and around the world on commercial transactions, mergers and acquisitions, business planning, joint ventures, debt and equity financing, capital raising, restructurings and intellectual property licensing. His clients span aviation, banking and finance, gaming, construction, manufacturing, transportation and other industries, reflecting a practice built around solving complex business problems rather than serving a single market sector. Drawing on an accounting background, prior business experience and decades of transactional work, Jeff helps clients structure deals that accomplish their legal, operational and financial objectives.
Guiding clients through complex issues in aviation matters
Aviation has become one of Jeff’s most distinctive practice areas, representing Fortune 100 companies, financial institutions and high-net-worth individuals in the purchase, sale, financing, leasing and operating of aircraft. His work regularly involves US domestic and international “cross-border” transactions, Federal Aviation Administration (FAA) and foreign regulatory compliance, tax considerations, operational structuring, fleet management issues and lender protections. Because aircraft transactions often combine corporate law, finance, accounting, tax and regulatory issues into a single engagement, Jeff enjoys helping clients navigate the complexity while keeping their business goals firmly in focus.
Serving as an ongoing legal and business adviser
Many clients turn to Jeff for far more than individual transactions or other one-off matters. Over the course of decades-long relationships, he frequently serves as outside general counsel, providing strategic guidance on everything from M&A financing to IP licensing, governance concerns and day-to-day business matters. His broad experience allows him to recognize how one legal issue may affect another, helping clients identify risks early, evaluate competing business pressures, and make informed decisions with confidence.
Bringing experience, perspective and flexibility to every engagement
Jeff believes his greatest strength lies in combining meticulous attention to detail with an understanding of the larger strategic picture. Earlier experience in litigation, together with his accounting and business background, gives him a broader perspective than many lawyers whose practices have developed within a single specialty. Whether he’s explaining unfamiliar issues to a first-time buyer, negotiating with seasoned counsel on a complex international transaction, or helping executives evaluate rapidly changing business and regulatory conditions, Jeff tailors his communication style to the situation. His goal remains consistent: deliver insightful, cost-effective counsel that helps clients achieve their short-term objectives while protecting their long-term interests.
